(1) All of the shares purchased during the fourth quarter as part of our $2.0 billion share repurchase program, publicly announced on October 11, 2007, consist
of shares purchased in private transactions from a broker in connection with stock based obligations under our Deferred Compensation Plan. The program
commenced on December 17, 2007 and is scheduled to expire on December 17, 2012.
(2) All shares were repurchased by the Company in connection with employee elections to use shares to pay withholding taxes upon the vesting of their
restricted stock units.
