INDENTURE, dated as of December 16, 2005, between Intel Corporation, a corporation duly organized and existing under the laws of the State of
Delaware, as Issuer (the “ Company ”), having its principal office at 2200 Mission College Boulevard, Santa Clara, California 95054 and Citibank,
N.A., a national banking association, as Trustee (the
“ Trustee ”).
RECITALS OF THE COMPANY
WHEREAS, the Company has duly authorized the creation of an issue of 2.95% Junior Subordinated Convertible Debentures due 2035 (each a “
Security ” and collectively, the “ Securities ”) of the tenor and amount hereinafter set forth, and to provide therefor the Company has duly authorized
the execution and delivery of this Indenture; and
WHEREAS, all things necessary to make the Securities, when executed by the Company and authenticated and delivered hereunder and duly issued
by the Company, the valid obligations of the Company, and to make this Indenture a valid agreement of the Company, in accordance with the terms of
the Securities and the Indenture, have been done;
NOW, THEREFORE, THIS INDENTURE WITNESSETH, for and in consideration of the premises and the purchases of the Securities by the
Holders thereof, it is mutually agreed, for the benefit of the Company and the equal and proportionate benefit of all Holders of the Securities, as
follows:

EFINITIONS AND O THER P ROVISIONS OF G ENERAL A PPLICATION
Section 1.01 . Definitions. For all purposes of this Indenture, except as otherwise expressly provided or unless the context otherwise requires:
(i) the terms defined in this Article 1 have the meanings assigned to them in this Article and include the plural as well as the singular;
(ii) all other terms used herein that are defined in the Trust Indenture Act, either directly or by reference therein, have the meanings assigned
to them therein;
(iii) all accounting terms not otherwise defined herein have the meanings assigned to them in accordance with GAAP; and
