“ Record Date ” means (i) with respect to any payment of Interest other than Interest payable upon designation of an Extraordinary Dividend or a
prepayment of Deferred Interest, each June 1 and December 1 (whether or not a Business Day), (ii) with respect to the payment of Interest payable
upon designation of an Extraordinary Dividend, the record date specified by the Company’s Board of Directors for the payment of such Interest in
accordance with Section 4.02(a)(ii) and (iii) with respect to a prepayment of Deferred Interest, the record date specified with respect to such
prepayment by the Company.
“ Regular Interest ” has the meaning specified in Section 4.01(a).
“ Redemption Date ” shall mean the date specified for redemption of the Securities in accordance with the terms of the Securities and Article 7
hereof.
“ Redemption Price ” has the meaning specified in Section 7.01.
“ Reference Property ” has the meaning specified in Section 9.06(b).
“ Registration Rights Agreement ” means the Registration Rights Agreement, dated as of December 16, 2005, between the Company and the
Initial Purchaser, for the benefit of itself and the Holders, as the same may be amended or modified from time to time in accordance with the terms
thereof.
“ Representative ” means the (i) indenture trustee or other trustee, agent or representative for any Senior Debt or (ii) with respect to any Senior
Debt that does not have any such trustee, agent or other representative, (1) in the case of such Senior Debt issued pursuant to an agreement providing
for voting arrangements as among the holders or owners of such Senior Debt, any holder or owner of such Senior Debt acting with the consent of the
required Persons necessary to bind such holders or owners of such Senior Debt and (2) in the case of all other such Senior Debt, the holder or owner of
such Senior Debt.
“ Resale Registration Statement ” means a registration statement under the Securities Act registering the Securities for resale pursuant to the
terms of the Registration Rights Agreement.
“ Responsible Officer ” means any officer of the Trustee within the Corporate Trust Office of the Trustee with direct responsibility for the
administration of this Indenture and also, with respect to a particular matter, any other officer of the Trustee to whom such matter is referred because
of such officer’s knowledge and familiarity with the particular subject.
“ Restricted Global Security ” means a Global Security representing Restricted Securities.
