CashBalanceFeature
UnderthecashbalancefeatureoftheCompany’spensionplan,theCompanyestablishesanaccountforeachparticipatingemployee.Everymonththeem-
ployeeworks,theCompanycreditstheemployee’saccountwithanamountequalto4%oftheemployee’smonthlypay.Inaddition,theongoingbalance
oftheemployee’saccountearnsinterestatthe30-yearTreasurybondrate.Totheextentfederallawsplacelimitationsontheamountofpaythatmay
betakenintoaccountundertheplan,4%oftheexcesspayiscreditedtoanaccountestablishedfortheemployeeinanunfundedsupplementaryplan.
IfaparticipatingemployeeleavestheCompanyandisvested(fiveormoreyearsofservice),theemployee’saccountbalancewillbedistributedtothe
employeeintheformofalumpsumormonthlyannuity.Participatingemployeeswhoseaccountbalanceexceeds$5,000alsohavethechoiceofleaving
theiraccountbalancesintheplantocontinuetoearninterest.
SupplementalRetirementArrangements
RobertH.Brust
Inadditiontothebenefitsdescribedabove,Mr.Brustiscoveredunderasupplementalunfundedpensionarrangementestablishedunderhisamendedoffer
letter.ThisarrangementprovidesMr.Brustasinglelifeannuityof$12,500permonthuponhisretirementifheremainsemployedwiththeCompanyforat
leastfiveyears.IfMr.BrustremainsemployeduntilJanuary3,2006,hewill,inlieuofreceivingthe$12,500permonthannuity,betreatedasifheiseli-
gibleforthenon-cashbalanceportionoftheCompany’spensionplan.Forthispurpose,Mr.Brustwillbecreditedwith14yearsofextraserviceinaddition
tohisactualservice.IfMr.BrustremainsemployeduntilJanuary3,2007,hewillbecreditedwith18yearsofextraserviceinadditiontohisactualservice
forpurposesofthenon-cashbalanceportionoftheplan.Inanycase,Mr.Brust’ssupplementalbenefitwillbeoffsetbyhiscashbalancebenefit.

Mr.PereziseligibleforasupplementalunfundedpensionbenefitunderthetermsofhisMarch3,2003offerletter.Underthisarrangement,ifMr.Perez
remainsemployedforthreeyears,hewillbetreatedasifeligibleforthenon-cashbalanceportionoftheCompany’spensionplan.Forthispurpose,hewill
beconsideredtohavecompletedeightyearsofservicewiththeCompanyandattainedage65.If,instead,Mr.Perezremainsemployedfornineyears,he
willbeconsideredtohavecompleted25yearsofservicewiththeCompany.Mr.Perez’ssupplementalpensionbenefitwillbeoffsetbyhiscashbalance
benefit.

InadditiontothebenefitMr.Langleymaybeeligibleforunderthecashbalancefeature,heisalsoeligibleforasupplementalunfundedretirementbenefit
underthetermsofhisAugust12,2003offerletter.Underthisarrangement,theCompanyestablishedaphantomcashbalanceaccountonbehalfof
Mr.Langley.Foreachfullyearofserviceheremainsemployed(uptoamaximumofsixyears),theCompanywillcredittheaccountwith$100,000.The
maximumtheCompanyisobligatedtocredittotheaccountis$600,000.Anyamountscreditedtotheaccountearninterestatthesameratethatamounts
accrueinterestunderthecashbalancefeature.Inordertoreceiveanyoftheamountscreditedtothisaccount,Mr.Langleymustremaincontinuously
employedforatleastthreeyearsunlesshisemploymentterminatesforcertainspecifiedreasons.
