includingproprietarybusinessinformation,andmayhaveaccesstoconfidentialorpersonalinformationincertainofourbusinesses
thatissubjecttoprivacyandsecuritylaws,regulationsandcustomer-imposedcontrols.Despiteourcybersecuritymeasures
(includingemployeeandthird-partytraining,monitoringofnetworksandsystems,andmaintenanceofbackupandprotective
systems)whicharecontinuouslyreviewedandupgraded,theCompany’sinformationtechnologynetworksandinfrastructuremay
stillbevulnerabletodamage,disruptionsorshutdownsduetoattackbyhackersorbreaches,employeeerrorormalfeasance,power

resultinlegalclaimsorproceedings,liabilityorpenaltiesunderprivacylaws,disruptioninoperations,anddamagetothe
Company’sreputation,whichcouldadverselyaffecttheCompany’sbusiness.AlthoughtheCompanymaintainsinsurancecoverage
forvariouscybersecurityrisks,therecanbenoguaranteethatallcostsorlossesincurredwillbefullyinsured.
