"Register" has the meaning assigned to such term in Section 9.04.
"Registration Rights Agreement" means the Registration Rights Agreement relating to the Senior Notes and the
Senior Subordinated Notes, dated as of the Closing Date, among the Borrower, each Subsidiary Guarantor, Credit Suisse First Boston
LLC, Deutsche Bank Securities Inc., Banc of America Securities LLC and Goldman Sachs & Co.
"Regulation T" means Regulation T of the Board as from time to time in effect and all official rulings and
interpretations thereunder or thereof, and any successor provision thereto.
"Regulation U" means Regulation U of the Board as from time to time in effect and all official rulings and
interpretations thereunder or thereof, and any successor provision thereto.
"Regulation X" means Regulation X of the Board as from time to time in effect and all official rulings and
interpretations thereunder or thereof, and any successor provision thereto.
"Related Business Assets" means assets (other than cash or Cash Equivalents) used or useful in a Similar Business;
provided that any assets received by the Borrower or a Restricted Subsidiary in exchange for assets transferred by the Borrower or a
Restricted Subsidiary shall not be deemed to be Related Business Assets if they consist of securities of a Person, unless upon receipt
of the securities of such Person, such Person would become a Restricted Subsidiary.
"Related Parties" means, with respect to any specified Person, such Person's Affiliates and the respective directors,
officers, trustees, employees, agents and advisors of such Person and such Person's Affiliates.
"Required Lenders" means at any time (i) prior to the making of the Loans on the Closing Date, Lenders holding
more than 50% of the total Commitments and (ii) thereafter, the Lenders holding more than 50% of the aggregate principal amount of
Loans outstanding at such time.
"Requirement of Law" means, as to any Person, the Certificate of Incorporation and By-Laws or other
organizational or governing documents of such Person, and any law, treaty, rule or regulation or determination of an arbitrator or a
court or other Governmental Authority, in each case applicable to or binding upon such Person or any of its property or to which such
Person or any of its property is subject.
"Responsible Officer" of any Person means the chief executive officer, the president, any vice president, the chief
operating officer or any Financial Officer of such Person and any other officer or similar official thereof responsible for the
administration of the obligations of such Person in respect of this Agreement, and, as to any document delivered on the Closing Date
(but subject to the express requirements set forth in Article IV), shall include any secretary or assistant secretary of a Loan Party. Any
document delivered hereunder that is signed by a Responsible Officer of a Loan Party shall be conclusively presumed to have been
authorized by all necessary corporate, partnership and/or other action on the part of such Loan Party and such Responsible Officer
shall be conclusively presumed to have acted on behalf of such Loan Party.
"Restricted Investment" means an Investment other than a Permitted Investment.
"Restricted Payments" has the meaning assigned to such term in Section 6.04(a).
"Restricted Subsidiary" means, at any time, any direct or indirect subsidiary of the Borrower (including any Foreign
Subsidiary) that is not then an Unrestricted Subsidiary; provided that
