Security Ownership of Certain Beneficial Owners and Management
The following table sets forth certain information regarding beneficial ownership of the Company’s
Class A common stock (“Class A common stock”) as of January 31, 2008 by:
• each current director of the Company;
• the current chief executive officer and chief financial officer and individuals named in the Summary
Compensation Table;
• all persons currently serving as directors and executive officers of the Company, as a group; and
• each person known by us to own beneficially 5% or more of our outstanding Class A common stock as
of January 31, 2008.
With respect to the percentage of voting power set forth in the following table:
• each holder of Class A common stock is entitled to one vote per share; and
• each holder of the Company’s Class B common stock (“Class B common stock”) is entitled to (i) ten
votes per share of Class B common stock held by such holder and its affiliates and (ii) ten votes per
share of Class B Common Stock for which membership units in Charter Holdco held by such holder
and its affiliates are exchangeable.
The 50,000 shares of Class B common stock owned by Mr. Allen represent 100% of the outstanding
Class B common stock.
