3M2005MANAGEMENTSTOCKOWNERSHIPPROGRAM
SECTION1PURPOSE
ThepurposeofthisplanistohelptheCompanyattractandretainoutstandingemployees,andtopromotethegrowthandsuccessof
theCompany’sbusinessbyaligningthefinancialinterestsoftheseemployeeswiththeotherstockholdersoftheCompany.Ithas
beenthepolicyoftheCompanytoencourageemployeeparticipationasstockholdersandtheCompanybelievesthatemployeestock
ownershiphasbeenanimportantfactorcontributingtotheCompany'sgrowthandprogress.
SECTION2DEFINITIONS
(a)“Award”shallmeananIncentiveStockOption,NonqualifiedStockOption,ProgressiveStockOption,Stock
AppreciationRight,RestrictedStock,RestrictedStockUnitorotherStockAwardgrantedtoaParticipantpursuanttothis2005
Program,subjecttotheterms,conditionsandrestrictionsofthis2005Programandtosuchotherterms,conditionsandrestrictionsas
maybeestablishedbytheCommittee.
(b)"BoardofDirectors"shallmeantheBoardofDirectorsof3MCompany.
(c) “Code” shall mean the Internal Revenue Code of 1986, as it may be amended from time to time. For purposes of this
2005Program,referencestosectionsoftheCodeshallbedeemedtoincludereferencestoanyapplicableregulationsthereunderand
anysuccessororsimilarprovisions.
(d) "Committee" shall mean the Compensation Committee established by the Board of Directors acting without the
participationofanymemberwhomayhavereceivedagrantorawardunderthe2005Programoranyothersimilarplanorprogram
oftheCompany(exceptthoselimitedtoparticipationbydirectors)duringthepreviousoneyearperiod,orsuchothercommitteeof
disinterested administrators established by the Board of Directors to comply with Rule 16b-3 promulgated by the Securities and
ExchangeCommission,asamendedfromtimetotime.
(e)"CommonStock"shallmeanthecommonstock,withaparvalueof$0.01pershare,of3MCompany.
(f) "Company" shall mean 3M Company and such subsidiaries or affiliates as may be designated by the Board of Directors
fromtimetotime.
(g) "Conditions" shall mean the condition that the Restricted Period stipulated by the Committee at the time of grants of
Restricted Stock or Restricted Stock Units shall have expired or terminated and that any other conditions prescribed by the
CommitteeregardingaParticipant'scontinuedemploymentbytheCompanyortheCompany'sperformanceduringtheRestricted
Periodshallhavebeensatisfied,oranyotherconditionsstipulatedbytheCommitteewithrespecttoStockAwards.
(h)“DisqualifyingTermination”shallmeanaterminationofaParticipant’semploymentwiththeCompany(i)duetoa
materialviolationofanyCompanypolicy,including,withoutlimitation,anypolicycontainedintheCompany’sBusinessConduct
Manual,or(ii)duetoembezzlementfromortheftofpropertybelongingtotheCompany.
(i)"DividendEquivalents"shallmeanthatsumofcashorCommonStockofequivalentvalueequaltotheamountof
cashorstockdividendspaiduponCommonStocksubjecttoanyAwardsunderthe2005Program,priortosuchtimeasthe
Participantotherwisebecomesentitledtheretoasaholderofrecord.
(j) "Fair Market Value" shall mean the closing price for a share of Common Stock as reported on the New York Stock
ExchangeCompositeTransactions.
