COMMON STOCK INFORMATION
Charter Communications, Inc. common stock is traded
on the Nasdaq National Market under the symbol
CHTR. Charter completed its initial public offering
of Class A common stock in November 1999. As
of March 31, 2001, there were 2,727 record holders
of Class A common stock (representing a total of approx-
imately 176,000 beneficial owners) and one holder of
Class B common stock. Charter does not expect to pay
any cash dividends on its Class A common stock in
the foreseeable future. Charter intends to retain future
earnings, if any, to finance the expansion of its business.
The ability of Charter to pay cash dividends on its
common stock is limited by provisions in the indentures
governing the publicly held debt of its subsidiaries.
