deemed to alter or affect any provision hereof.
20. Governing Law and Choice of Venue. This Award A
g
reement shall be
g
overned by and construed and enforced in
accordance with the laws of the State of California without regard to conflict of law principles thereunder.
For purposes of liti
g
atin
g
any dispute that arises directly or indirectly from the relationship of the parties evidenced by this
g
rant or this Award A
g
reement, the parties hereby submit to the exclusive jurisdiction of the State of California and a
g
ree that such
liti
g
ation shall be conducted only in the courts of Santa Clara County, California, or the federal courts for the Northern District of
California, and no other courts, where this grant is made and/or to be performed.
21. Construction. It is intended that the terms of the Award will not result in the imposition of any tax liability pursuant to
Section 409A of the Code. This Award Agreement shall be construed and interpreted consistent with that intent.
22. Severability. The provisions of this Award A
g
reement are severable and if any one of more provisions are determined to be
illegal or otherwise unenforceable, in whole or in part, the remaining provisions shall nevertheless be binding and enforceable.
23. Imposition of Other Requirements. The Company reserves the right to impose other requirements on the Participant’s
participation in the Plan, on the Stock Units and on any Shares acquired under the Plan, to the extent the Company determines it is
necessary or advisable in order to comply with local law or facilitate the administration of the Plan, and to require the Participant to si

any additional agreements or undertakings that may be necessary to accomplish the foregoing.
