on pages 340 to 346.
2013 Annual General Meeting
Our Annual General Meeting in 2013 will be held at
the Barbican Hall, Barbican Centre, London EC2 on
24 May 2013 at 11.00am.
An informal meeting of shareholders will be
held at 1 Queen’s Road Central, Hong Kong on
Monday 20 May 2013 at 4.30pm.
Resolutions to receive the Annual Report and
Accounts 2012, approve the Directors’ Remuneration
Report, elect or re-elect Directors and reappoint
KPMG Audit Plc as auditor will be submitted to
the Annual General Meeting. KPMG Audit Plc has
expressed its willingness to continue in office and
the Group Audit Committee and the Board has
recommended that KPMG Audit Plc be reappointed.
Resolutions will also be submitted to the Annual
General Meeting to renew the authority for the
allotment of shares, disapply pre-emption rights,
renew the authority for the purchase of ordinary
shares, and approve general meetings (other than
Annual General Meetings) being called on a
minimum of 14 clear days’ notice.

will be available on www.hsbc.com. From shortly
after the conclusion of the Annual General Meeting
until 30 June 2013 a recording of the proceedings
will be available on www.hsbc.com.
