Annual Meeting
The Annual Meeting of Shareholders of
American Express Company will be held
at the company’s New York City head-
quarters, 200 Vesey Street, New York,
NY 10285, on Monday, April 24, 2006,
at 10:00 a.m., Eastern Time. A written
transcript or an audiocassette of the
meeting will be available upon written
request to the Secretary’s Office. There
will be a modest fee to defray production
and mailing costs.

On May 26, 2005, Kenneth I. Chenault,
Chairman of the Board and Chief Execu-
tive Officer of the company, submitted to
the New York Stock Exchange the
Annual CEO Certification required by
the rules of the Exchange certifying that
he was not aware of any violations by
the company of the Exchange’s Corpo-
rate Governance listing standards.
The company filed with the Securities
and Exchange Commission the Certifica-
tions of its chief executive officer and
chief financial officer pursuant to section
302 of the Sarbanes-Oxley Act of 2002
as exhibits 31.1 and 31.2, respectively,
to its Annual Report on Form 10-K for
the year ended December 31, 2005.
Direct Deposit of Dividends
The company has established an Elec-
tronic Direct Deposit of Dividends

quarterly dividends on the company’s
