andtherelatedconsolidatedstatementsofearnings,shareholders’equity,andcash
flowsforeachofthethreefiscalyearsintheperiodendedFebruary3,2006.These
financialstatementsaretheresponsibilityoftheCompany’smanagement.Ourrespon-
sibilityistoexpressanopiniononthesefinancialstatementsbasedonouraudits.
WeconductedourauditsinaccordancewiththestandardsofthePublicCom-
panyAccountingOversightBoard(UnitedStates).Thosestandardsrequirethatwe
planandperformtheaudittoobtainreasonableassuranceaboutwhetherthefinancial
statementsarefreeofmaterialmisstatement.Anauditincludesexamining,onatest
basis,evidencesupportingtheamountsanddisclosuresinthefinancialstatements.
Anauditalsoincludesassessingtheaccountingprinciplesusedandsignificantesti-
matesmadebymanagement,aswellasevaluatingtheoverallfinancialstatement

Inouropinion,suchconsolidatedfinancialstatementspresentfairly,inall

January28,2005,andtheresultsofitsoperationsanditscashflowsforeachof
thethreefiscalyearsintheperiodendedFebruary3,2006inconformitywith
accountingprinciplesgenerallyacceptedintheUnitedStatesofAmerica.
Wehavealsoaudited,inaccordancewiththestandardsofthePublicCompany
AccountingOversightBoard(UnitedStates),theeffectivenessoftheCompany’s
internalcontroloverfinancialreportingasofFebruary3,2006,basedonthecriteria
establishedinInternalControl—IntegratedFrameworkissuedbytheCommittee
ofSponsoringOrganizationsoftheTreadwayCommissionandourreportdated
April6,2006expressedanunqualifiedopiniononmanagement’sassessmentof

auditincludedobtaininganunderstandingofinternalcontroloverfinancialreport-
ing,evaluatingmanagement’sassessment,testingandevaluatingthedesignand
operatingeffectivenessofinternalcontrol,andperformingsuchotherproceduresas
weconsiderednecessaryinthecircumstances.Webelievethatourauditprovides
areasonablebasisforouropinions.
Acompany’sinternalcontroloverfinancialreportingisaprocessdesignedby,
orunderthesupervisionof,thecompany’sprincipalexecutiveandprincipalfinancial
officers,orpersonsperformingsimilarfunctions,andeffectedbythecompany’s
boardofdirectors,management,andotherpersonneltoprovidereasonableassur-
anceregardingthereliabilityoffinancialreportingandthepreparationoffinancial
statementsforexternalpurposesinaccordancewithgenerallyacceptedaccount-
ingprinciples.Acompany’sinternalcontroloverfinancialreportingincludesthose
policiesandproceduresthat(1)pertaintothemaintenanceofrecordsthat,inrea-
sonabledetail,accuratelyandfairlyreflectthetransactionsanddispositionsofthe
assetsofthecompany;(2)providereasonableassurancethattransactionsare
recordedasnecessarytopermitpreparationoffinancialstatementsinaccordance
withgenerallyacceptedaccountingprinciples,andthatreceiptsandexpenditures
ofthecompanyarebeingmadeonlyinaccordancewithauthorizationsofmanage-
mentanddirectorsofthecompany;and(3)providereasonableassuranceregarding
preventionortimelydetectionofunauthorizedacquisition,use,ordispositionofthe
company’sassetsthatcouldhaveamaterialeffectonthefinancialstatements.
Becauseoftheinherentlimitationsofinternalcontroloverfinancialreporting,
includingthepossibilityofcollusionorimpropermanagementoverrideofcontrols,
materialmisstatementsduetoerrororfraudmaynotbepreventedordetectedon
atimelybasis.Also,projectionsofanyevaluationoftheeffectivenessoftheinter-
nalcontroloverfinancialreportingtofutureperiodsaresubjecttotheriskthatthe
controlsmaybecomeinadequatebecauseofchangesinconditions,orthatthe
degreeofcompliancewiththepoliciesorproceduresmaydeteriorate.
Inouropinion,management’sassessmentthattheCompanymaintainedeffec-
tiveinternalcontroloverfinancialreportingasofFebruary3,2006,isfairlystated,in
allmaterialrespects,basedonthecriteriaestablishedinInternalControl—Integrated
FrameworkissuedbytheCommitteeofSponsoringOrganizationsoftheTreadway
Commission.Alsoinouropinion,theCompanymaintained,inallmaterialrespects,
effectiveinternalcontroloverfinancialreportingasofFebruary3,2006,basedon
