ITEM 9A. CONTROLS AND PROCEDURES
The term “disclosure controls and procedures” is defined in Rules 13a-15(e) and 15d-15(e) of the Securities
Exchange Act of 1934, or the Exchange Act. This term refers to the controls and procedures of a company that are
designed to ensure that information required to be disclosed by a company in the reports that it files under the
Exchange Act is recorded, processed, summarized and reported within the time periods specified by the Securities
and Exchange Commission. An evaluation was performed under the supervision and with the participation of the
Company’s management, including the Chief Executive Officer (CEO) and Chief Financial Officer (CFO), of the
effectiveness of the Companys disclosure controls and procedures as of December 31, 2003. Based on that
evaluation, the Companys management, including the CEO and CFO, concluded that the Companys disclosure
controls and procedures were effective as of December 31, 2003. There have been no significant changes in the
Company’s internal controls or in other factors that could significantly affect internal controls over financial
reporting.
