1997 EMPLOYEE STOCK OPTION PLAN
(AS AMENDED THROUGH 10/19/01)
1. Purposes of the Plan. The purposes of this 1997 Employee Stock Option Plan are to assist the Company in attracting and retaining
high quality personnel, to provide additional incentive to Employees who are not Directors or Officers of the Company and to promote the
success of the Company's business. Options granted under the Plan shall be Nonstatutory Stock Options. SARs granted under the Plan may be
granted in connection with Options or independently of Options.
2. Definitions. As used herein, the following definitions shall apply:
"Administrator" means the Board or any of its Committees, as shall be administering the Plan from time to time pursuant to
Section 4 of the Plan.
"Affiliated Company" means a corporation which is not a Subsidiary but with respect to which the Company owns, directly or
indirectly through one or more Subsidiaries, at least twenty percent of the total voting power, unless the Administrator determines in its
discretion that such corporation is not an Affiliated Company.
"Applicable Laws" shall have the meaning set forth in Section 4 of the Plan.
"Board" means the Board of Directors of the Company.
"Change in Control" shall have the meaning set forth in Section 10 of the Plan.
"Change in Control Price" shall have the meaning set forth in Section 12 of the Plan.
"Common Stock" means the common stock, no par value, of the Company.
"Company" means Apple Computer, Inc., a California corporation, or its successor.
"Committee" means a Committee, if any, appointed by the Board in accordance with Section 4(a) of the Plan.
"Code" means the Internal Revenue Code of 1986, as amended from time to time, and any successor thereto.
"Continuous Status as an Employee"
means the absence of any interruption or termination of the employment relationship with the
Company or any Subsidiary or Affiliated Company. Continuous Status as an Employee shall not be considered interrupted in the case of
(i) medical leave, military leave, family leave, or any other leave of absence approved by the Administrator, provided, in each case, that
such leave does not result in termination of the employment relationship with the Company or any Subsidiary or Affiliated Company, as
the case may be, under the terms of the respective Company policy for such leave; however, vesting may be tolled while an employee is
on an approved leave of absence under the terms of the respective Company policy for such leave; or (ii) in the case of transfers
between locations of the Company or between the Company, its Subsidiaries, its successor or its Affiliated Companies;
"Director" means a member of the Board.
"Employee" means any person, employed by and on the payroll of the Company, any Subsidiary or any Affiliated Company.
