(1) The total number of shares purchased for the three months ended June 30, 2015 was 4,420,851. All transactions were made in the open
market with large financial institutions. This table excludes shares withheld from employees to satisfy minimum tax withholding
requirements on option exercises and other equity-based transactions. The Company administers cashless exercises through an independent
third party and does not repurchase stock in connection with cashless exercises.
(2) Average price paid per share is calculated on a settlement basis and excludes commission.
(3) On April 23, 2015, the Company stated that fiscal year 2015 share repurchases to reduce Company shares outstanding were estimated to
be approximately $5 billion, notwithstanding any purchases under the Company's compensation and benefit plans. The share repurchases
were authorized pursuant to a resolution issued by the Company's oard of Directors and were financed through a combination of operating
cash flows and issuance of long-term and short-term debt. The total value of the shares purchased under the share repurchase plan was
$4.6 billion. The share repurchase plan ended on June 30, 2015.
