in 2006 or 2007.
(2) All stock award amounts for restricted stock granted by Windstream reflect 2008 compensation expense
calculated in accordance with SFAS 123(R) as described in the Annual Report on Form 10-K for fiscal year
ended December 31, 2008.
(3) No options have been granted by Windstream.
(4) Amounts for 2008 for Messrs. Gardner, Whittington, Clancy and Crane include $228,408, $2,471, $31,583,
and $49,434, respectively, for increase in pension value. Mr. Gardner did not receive above-market earnings on
non-qualified deferred compensation in 2008.
(5) “All Other Compensation” in 2008 includes (i) company matching contributions under the Windstream
401(k) Plan for Messrs. Gardner, Whittington, Fletcher, Crane and Clancy in the amounts of $11,500, $15,675,
$18,750, $15,675, and $13,800, respectively, (ii) the valuation of the individual’s personal use of company plane
based on the incremental cost to the company of such usage, which primarily includes costs for fuel, maintenance
charges allocable to such use, and contract-pilot charges and excludes depreciation of the aircraft, general
maintenance, compensation of Windstream’s employee pilots and other general charges related to ownership of
the aircraft,(iii) imputed income for value over $50,000 of life insurance coverage provided by the Company,
