Notice of 2009 Annual Meeting of Stockholders
To be Held May 6, 2009
To the Stockholders of Windstream Corporation:
Notice Is Hereby Given That the 2009 Annual Meeting of Stockholders of Windstream Corporation
(“Windstream”) will be held at the Capital Hotel, 111 West Markham, Little Rock, Arkansas 72201, on
Wednesday, May 6, 2009 at 11:00 a.m. (local time), for the following purposes:
1. To elect nine directors to serve until the 2010 Annual Meeting of Stockholders or until their
successors are duly elected and qualified or until their earlier removal, resignation or death;
2. To ratify the appointment of PricewaterhouseCoopers LLP as Windstream’s independent registered
public accountant for 2009;
3. To vote on two stockholder proposals; and
4. To transact such other business as may properly come before the meeting or any postponement or
adjournment thereof.
Only holders of Common Stock of record at the close of business on March 9, 2009 are entitled to notice of
and to vote at the meeting or at any adjournment or postponement thereof.
We are pleased to be using a new U.S. Securities and Exchange Commission rule that allows us to furnish
our proxy materials to you primarily over the Internet. We believe these rules allow us to provide our
stockholders with the information they need on a more timely basis while lowering the costs of delivery and
conserving natural resources.
Beginning on March 23, 2009, we began mailing our stockholders a notice containing instructions on how
to access our 2008 Annual Report, Proxy Statement and Annual Report on Form 10-K and to vote online. The
notice also included instructions on how to receive those Annual Meeting materials by mail. If you received
those Annual Meeting materials by mail, the proxy card from the Board of Directors was enclosed with this
notice and those materials.
