equivalent of a Participant’s vested benefits under this Section 7 is less than $15,000, such benefits will be paid in a lump sum
within 60 days after such Separation from Service, provided, that such payment results in the termination and liquidation of the
entirety of such Participant’s interest under the Plan, including all agreements, methods, programs or other arrangements which
would be aggregated with the Plan under Treas. Reg. §1.409A-1(c)(2).
