Under our share-based compensation plans, we may issue restricted stock and other equity securities to directors, officers and
other key employees. The maximum number of shares available for issuance under the Windstream 2006 Amended and
Restated Equity Incentive Plan is 20.0 million shares and under the PAETEC Holding Corp. 2011 Omnibus Incentive Plan is
approximately 3.6 million shares.
