• Replace the specific limitation on the number of shares that may be granted as restricted stock or
restricted stock unit awards with an alternate method of calculating share usage (i.e., each share of
restricted stock or restricted stock unit granted on or after July 31, 2008 will reduce the number of
shares remaining available for issuance by 1.82 shares, and each share underlying stock options and
stock appreciation rights granted after July 31, 2008 will reduce the number of shares remaining
available for issuance by 1 share);
• Add additional performance measures to the list of performance factors for use in granting perfor-
mance-based equity awards under the Equity Plan; and
• Extend the term of the Equity Plan for an additional ten years to 2020.
