Our Common Stock has been traded on the New York Stock Exchange since May 19, 1992, under the symbol “KSS.” The
prices in the table set forth below indicate the high and low sales prices of our Common Stock per the New York Stock
Exchange Composite Price History and our quarterly cash dividends per common share for each quarter in 2012 and 2011.

We have filed with the Securities and Exchange Commission (“SEC”), as Exhibits 31.1 and 31.2 to this Annual Report on
Form 10-K, the Sarbanes-Oxley Act Section 302 certifications. In 2012, Kevin Mansell, our Chief Executive Officer, submitted
a certification with the New York Stock Exchange (“NYSE”) in accordance with Section 303A.12 of the NYSE Listed
Company Manual stating that, as of the date of the certification, he was not aware of any violation by us of the NYSE’s
corporate governance listing standards.
On February 27, 2013, our Board of Directors approved a dividend of $0.35 per share which will be paid on March 27,
2013 to shareholders of record as of March 13, 2013. In 2012, we paid aggregate cash dividends of $300 million.

As of March 13, 2013, there were approximately 4,450 record holders of our Common Stock.
