or the exercise of any other right, power or remedy. The rights and remedies herein provided are cumulative and not exclusive of any
rights or remedies provided by Law.
SECTION 11.3 Notices
Section 21 ( Notices) of the MLS Intercreditor Agreement is incorporated into this Agreement by way of reference.
SECTION 11.4 Data File
The parties agree that the Data File to be delivered on or about the Lease Closing Date shall become an integral part of this
Agreement on the Lease Closing Date.
SECTION 11.5 Binding Effect
The parties to this Agreement may not assign any rights under this Agreement, except with the consent of the other parties to
this Agreement except Lessor may collaterally assign its rights under this Agreement for the benefit of the Finance Parties.
SECTION 11.6 Third Party Rights
This Agreement shall, to the extent provided herein, inure to the benefit of the Finance Parties. Each party hereto
acknowledges that Lessor’s rights under this Agreement may be assigned to Collateral Agent and consents to such assignment and to
the exercise of those rights directly by Collateral Agent. Each party hereto acknowledges that Brightstar is an express third party
beneficiary of Section 2.11(c)(i) of this Agreement, Section 11.1, this Section 11.6 and Schedule 6 to this Agreement.
SECTION 11.7 Execution in Counterparts; Integration
This Agreement may be executed in any number of counterparts and by the different parties in separate counterparts, each of
which when so executed shall be deemed to be an original and all of which when taken together shall constitute one and the same
Agreement. Executed counterparts may be delivered electronically. This Agreement, together with the other Transaction Documents,
contains a final and complete integration of all prior expressions by the parties hereto with respect to the subject matter hereof and
shall constitute the entire understanding among the parties hereto with respect to the subject matter hereof, superseding all prior oral
or written understandings with respect hereto.
SECTION 11.8 Governing Law
THIS AGREEMENT AND THE DEVICE LEASES SHALL BE GOVERNED BY THE LAWS OF THE STATE OF NEW
YORK (INCLUDING SECTIONS 5-1401 AND 5-1402 OF THE NEW YORK GENERAL OBLIGATIONS LAW, BUT
WITHOUT REGARD TO ANY OTHER CONFLICT OF LAWS PROVISIONS THEREOF).
