thereof, and all applicable administrative orders, directed duties, requests, licenses, authorizations and permits of, and
agreements with, any Governmental Authority, in each case whether or not having the force of law;
“ Lease Closing Date ” means December 2, 2015;
“ Lease Default ” means an event or circumstance which, after the giving of notice or lapse of time, or both, would become a
Lease Event of Default;
“ Lease Event of Default ” has the meaning given to that term under Section 3.1 ( Lease Events of Default ) of this
Agreement;
“ Lessee ” has the meaning given to that term in the preamble of this Agreement;
“ Lessee Collateral ” has the meaning given to that term under Section 9.1 ( GrantingClausetoLessee) of this Agreement;
“ Lessee Covered Taxes ” has the meaning given that term under the Tax Services Agreement;
“Lessee Indemnitee” has the meaning given to that term under Section 4.1(a) ( Indemnities) of this Agreement;
“ Lessee Representative ” has the meaning given to that term under the Second Step Transfer Agreement;
“ Lessee Representative Account (Tranche 1) ” has the meaning given to that term under the Servicing Agreement;
“Lessor” has the meaning given to that term in the preamble of this Agreement;
“ Lessor’s Liens ” means (a) any Lien arising out of a voluntary or involuntary transfer by Lessor of any of its rights, title or
interest in the Devices or the Device Leases (other than (i) this Lease or any Transaction Document, (ii) any transfer to any
Sprint Party, as a result of a Lease Event of Default or in connection with the exercise by the relevant Sprint Party of any
rights or options under the Transaction Documents or (iii) any Lien arising by, through or under any Lessee) or (b) any Lien
of any Person arising by, through or under Lessor, not based upon or relating to the Transaction Documents or the
transactions contemplated thereby;
“ Liabilities ” has the meaning given to that term under Section 4.1(a) ( Indemnities) of this Agreement;
“ Lien ” means any mortgage, deed of trust, pledge, security interest, hypothecation, assignment, deposit arrangement,
encumbrance, lien (statutory or other), preference, priority or other security agreement or preferential arrangement of any
kind or nature whatsoever, including any conditional sale or other title retention agreement and any financing lease having
substantially the same economic effect as any of the foregoing;
