1.04 Administration
The Compensation Committee of the Board (the “Compensation Committee”) shall administer the Plan; provided , however ,
that none of the members of the Compensation Committee will be a Participant. The powers and duties of the Compensation
Committee in administering the Plan are set forth in Section 6.02.
