On May 26, 2004, Kenneth I.
Chenault, Chairman of the Board and
Chief Executive Officer of the com-
pany, submitted to the New York
Stock Exchange the Annual CEO
Certification required by the rules of
the Exchange certifying that he was
not aware of any violations by the
company of the Exchange's Corporate
Governance listing standards.
The company filed with the Securities
and Exchange Commission the
Certifications of its chief executive
officer and chief financial officer
pursuant to section 302 of the Sar-
banes-Oxley Act of 2002 as exhibits
31.1 and 31.2, respectively, to its
