The duties of the Finance and Investment Committee include
laying the groundwork – on the basis of the Company ’s over-
all strategy, which is the subject of an annual strategy meet-
ing of the Supervisory Board – for the Supervisory Board’s
nego tiations and decisions regarding the Company’s financial
situation and structure, its investments in property, plant and
equipment and its financial investments. In addition, the
Committee decides on behalf of the Supervisory Board
whether to approve business transactions requiring Super-
visory Board approval that have a value of less than € mil-
lion. It also exercises the Supervisory Board’s rights under
Section  of the German Codetermination Act to make deci-
sions regarding the exercise of ownership rights resulting
from interests in other companies. As stipulated in Section ,
paragraph , sentence  of the German Codetermination Act,
decisions of the Finance and Investment Committee under
Section  of the Act are made only by the Committee’s share-
holder representatives.

 The Mediation Committee, whose establishment is mandatory
under German law, makes recommendations to the Super-
visory Board regarding the appointment and revocation of the
appointment of Managing Board members if the Supervisory
Board has not approved these appointments and / or revoca-
tions by the required two-thirds majority on the first vote.
