Our Board of Directors believes that the proposed Exchange Program is favorable to the interests of our
stockholders and, at the same time, will strengthen incentives for employees currently holding underwater
stock options to remain with the Company and to contribute to our growth and success.
The Board recommends a vote FOR approval of the Exchange Program.
20
