Summary Compensation Table

The table below summarizes the compensation of our named executive officers that is attributable to the fiscal years ended December

31, 2013, 2012,

and 2011. The named executive officers are our President and CEO, our CFO, our three other most highly compensated executive officers serving at December

31, 2013 and one individual for whom disclosure would have been provided but for the fact that he was not an executive officer as of December 31, 2013.

Amounts included in "Non

Equity Incentive Plan Compensation" for 2013 include performance units granted under the 2012 LTIC plan, which, as provided for

in the SoftBank Merger Agreement, were converted as if target performance had been achieved as of the closing date of the SoftBank Merger. Although these

awards do not vest until December 31, 2014, the target amounts are required to be reported as earned in 2013 and account for nearly all of the increase over prior

years' non

equity incentive plan compensation.
