Selection of Peer Group
To assess market compensation practices, each year the Committee selects a group of comparable companies
(“peer group”) to use as a reference for compensation decisions. We compete for talent across various industries;
as a result, our peer group comprises companies across related industries, with comparable revenue, market
capitalization, geographic markets, financial performance and expected growth rates. In the third quarter of fiscal
2013 (November 2012), the Committee selected the following peer group to use as a reference for fiscal 2014
compensation decisions.

The Board, with the assistance of Compensia, also considered other relevant market data outside of our peer
group in connection with determining the equity compensation to be awarded to Mr. Wilson when he assumed
the role of CEO, specifically referencing data from other high technology companies within the S&P 500 that
reported internal CEO promotions in recent years.
