Shareholders Communication Channel
Philips is continually striving to improve relations with its
shareholders. For instance, Philips was one of the key
companies involved in the establishment of the
Shareholders Communication Channel, a project of
Euronext Amsterdam, banks in the Netherlands and
several major Dutch companies to simplify contacts
between participating companies and their shareholders.
Philips will use the Shareholders Communication Channel
to distribute the Agenda for this year’s Annual General
Meeting of Shareholders as well as an instruction form to
enable proxy voting at that meeting.
For the Annual General Meeting of Shareholders on April
26, 2012, a record date of March 29, 2012, will apply.
Those persons who on March 29, 2012 hold shares in the
Company and are registered as such in one of the
registers designated by the Board of Management for the
Annual General Meeting of Shareholders will be entitled
to participate in and vote at the meeting.
Investor relations activities
From time to time the Company engages in
communications with investors via road shows, one-on-
one meetings, group meetings, broker conferences and
capital markets days. The purpose of these meetings is to
inform the market on the results, strategy and decisions
made, as well as to receive feedback from our
shareholders. Also, the Company engages in bilateral
communications with investors. These communications
take place either at the initiative of the Company or at the
initiative of individual investors. During these
communications the Company is generally represented by
its Investor Relations department. However, on a limited
number of occasions the Investor Relations department
is accompanied by one or more members of the Board of
Management. The subject matter of the bilateral
communications ranges from individual queries from
investors to more elaborate discussions following
disclosures that the Company has made such as its annual
and quarterly reports. The Company is strict in its
compliance with applicable rules and regulations on fair
and non-selective disclosure and equal treatment of
shareholders.
